Terms of Service

Please read these terms carefully before using YemameServe.

Welcome to YemameServe

These Terms of Service (“Terms”) govern your access to and use of YemameServe, a point-of-sale and business management platform designed for cafes, restaurants, bakeries, food trucks, and similar businesses. By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

Section 1

Acceptance of Terms

By creating an account, accessing, or using YemameServe, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

Section 2

Eligibility

You must be at least 18 years old and operating a legitimate business to use YemameServe. By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You operate or represent a legitimate business
  • You will use the Service in compliance with all applicable laws and regulations
  • All information you provide is accurate and truthful
Section 3

Account Registration & Security

Email Verification

  • You must use a valid, permanent email address
  • Temporary or disposable email addresses are prohibited
  • You must verify your email address within 3 days of registration
  • Unverified accounts may be disabled or deleted after 3 days

Account Security

  • You are responsible for maintaining the security of your account
  • Choose a strong, unique password
  • Do not share your password or staff access PINs with unauthorized persons
  • Notify us immediately of any unauthorized access
  • You are responsible for all activities under your account

Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Use temporary or fake email addresses
  • Remain unverified for more than 3 days
  • Engage in fraudulent, abusive, or illegal activities
  • Fail to pay subscription fees when due
  • Are inactive for extended periods (6+ months)
Section 4

Subscription & Billing

Subscription Plans

YemameServe offers multiple subscription tiers with varying features and limitations. Details of each plan are available on our pricing page. You may upgrade or downgrade your subscription at any time.

Payment Processing

All payments are processed securely through Paystack. We accept:

  • Mobile Money (MTN MoMo, Telecel Cash, AT Money)
  • Credit and Debit Cards (Visa, Mastercard)
  • Bank transfers

Billing Cycles

You can choose from the following billing options:

  • Monthly: Charged every 30 days at the standard rate
  • Quarterly: Charged every 90 days with a discount
  • Annual: Charged every 365 days with a larger discount

Automatic Renewal

  • Subscriptions automatically renew at the end of each billing cycle
  • You will be charged the then-current rate unless you cancel
  • You can cancel your subscription at any time from your account settings
  • Cancellations take effect at the end of the current billing period
  • No refunds for partial billing periods

Failed Payments

If a payment fails:

  • We will attempt to retry the charge up to 3 times
  • You will be notified via email of the failed payment
  • Your account will be suspended if payment is not resolved within 14 days
  • Access to premium features may be restricted until payment is successful
Section 5

Service Usage & Limitations

Acceptable Use

You agree to use YemameServe only for lawful business purposes. You may not:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to access accounts or data belonging to others
  • Interfere with or disrupt the Service or servers
  • Upload malicious code or attempt to exploit vulnerabilities
  • Use automated systems to access the Service without permission
  • Sell, resell, or redistribute the Service without authorization

Service Availability

We strive to maintain high uptime but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we'll notify you in advance)
  • Unexpected technical issues
  • Force majeure events beyond our control

Data & Backups

  • You are responsible for maintaining your own backups of critical business data
  • While we implement robust backup systems, we are not liable for data loss
  • You retain ownership of all data you input into the Service
Section 6

Content, Intellectual Property & Copyrighted Material

Your Content

You retain ownership of all content you upload, including shop names, logos, product images, descriptions, and menu data. By uploading content, you grant Yemame a non-exclusive, worldwide license to display and distribute that content solely for the purpose of providing the Service.

Copyrighted Material — Your Responsibility

You are solely responsible for ensuring that all content you upload or display through YemameServe — including but not limited to images, logos, product names, descriptions, and marketing materials — does not infringe on the intellectual property rights of any third party. Specifically:

  • Do not upload images, logos, or branding that you do not own or have explicit permission to use
  • Do not use copyrighted music, artwork, or photography without proper licensing
  • Do not copy product descriptions, menus, or marketing copy from other businesses
  • Do not use trademarks, trade names, or brand identities belonging to others without authorization
  • You are responsible for obtaining all necessary licenses, permissions, or consents before uploading any content

Consequences of Infringement

If we receive a valid complaint or notice that your content infringes on third-party intellectual property rights:

  • The infringing content will be removed immediately without prior notice
  • Your account may be suspended pending investigation
  • Repeated violations will result in permanent account termination
  • You will be solely liable for any legal claims, damages, or costs arising from your infringement
  • Yemame reserves the right to cooperate with rights holders and law enforcement in infringement matters

Our Intellectual Property

The YemameServe platform, including its design, code, logos, trademarks, and all associated intellectual property, remains the exclusive property of Yemame. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Service.

Section 7

Prohibited Conduct & Shop Integrity

Shop Accuracy

You are required to represent your business accurately on YemameServe. Misrepresentation harms customers and the platform. You agree that:

  • All shop information (name, address, contact, business type) must be truthful and current
  • Business categories must genuinely reflect the products and services you offer
  • Shops with misleading categories will be flagged as spammy, will rank lower in search results, and will not be eligible for featured placement
  • Product listings, prices, and availability must be kept accurate and up to date
  • You will not create fake shops, duplicate listings, or shill operations

Prohibited Activities

In addition to the general acceptable use restrictions, you specifically may not:

  • Use YemameServe to sell illegal, counterfeit, stolen, or prohibited goods
  • Sell products that are unsafe, expired, or do not meet applicable health and safety standards
  • Engage in price gouging, deceptive pricing, or bait-and-switch tactics
  • Use the platform for money laundering, fraud, or any financial crime
  • Harass, threaten, or discriminate against customers or other vendors
  • Use customer data collected through the platform for purposes outside the Service
  • Scrape, harvest, or collect information about other vendors or customers
  • Attempt to manipulate reviews, ratings, or search rankings

Enforcement

Yemame reserves the right to investigate and take action on any violation, including but not limited to:

  • Issuing warnings for first-time or minor violations
  • Temporarily suspending shop visibility or ordering capabilities
  • Permanently removing shops that violate these Terms
  • Terminating accounts involved in serious or repeated violations
  • Reporting illegal activities to appropriate law enforcement authorities

Data Privacy & Customer Information

Customer Data

Through YemameServe, you may collect customer data such as names, phone numbers, and order histories. You agree that:

  • You will handle all customer data in compliance with applicable data protection laws
  • You will not sell, share, or disclose customer data to third parties for their own marketing purposes
  • You will use customer data solely for fulfilling orders and improving your service through the platform
  • You will promptly delete or anonymize customer data upon request
  • You are responsible for your own compliance with privacy laws in your jurisdiction

Our Data Practices

Yemame collects and processes data as described in our Privacy Policy. We may use aggregated, anonymized data to improve the Service, generate insights, and for other legitimate business purposes.

Section 9

Modifications to Terms & Service

Changes to These Terms

  • We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices
  • Material changes will be communicated via email or an in-app notification at least 14 days before they take effect
  • Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms
  • If you do not agree with updated Terms, you must stop using the Service and cancel your subscription

Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for significant changes that affect your use of the Service.

Section 10

Dispute Resolution & Governing Law

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.

Dispute Resolution

In the event of any dispute arising from or relating to these Terms or the Service:

  • You agree to first attempt to resolve the dispute informally by contacting us via WhatsApp at +233559760063
  • If informal resolution fails within 30 days, either party may pursue formal resolution
  • Any legal proceedings shall be brought exclusively in the courts of Accra, Ghana
  • You waive any objection to jurisdiction or venue in such courts

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Section 11

Limitation of Liability

Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YEMAME DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Liability Cap

IN NO EVENT SHALL YEMAME BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Yemame from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
